PLEASE READ THESE TERMS OF USE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

These Terms of Use (“Terms”) govern your access to and use of the Glow website at mindgocare.ai (the “Website”), the Glow mobile application (the “App”), and all related services. The Website and the App are referred to together as the “Service.” The Service is operated by MindGO Care, Inc. (“Company,” “we,” “us,” or “our”), a Delaware corporation. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Consumer Health and Wellness Data Privacy Notice. If you do not agree, do not use the Service.

1. Eligibility


To summarize: You must be at least 18 years old to use the Service.
 

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into these Terms. If we learn that a user is under 18, we will terminate their access and delete any associated data we are able to locate.

2. Children

The Service is not directed to children under the age of 18. We do not knowingly collect personal information from anyone under 18. Please do not use the Service if you are under 18.
 

3. Medical Disclaimer


To summarize: We do not provide medical or mental health care, and the Service is not for emergencies. Please seek professional help if you need it.

The Service does not include the provision of medical care, mental health services, or other professional services.

The Service is a personal wellbeing application. It provides emotional experiences and content designed to support general emotional wellness. Specifically:

The Service is not therapy. It does not provide psychotherapy, counseling, or any form of mental health treatment.

The Service is not medical care. It does not provide medical advice, diagnosis, or treatment of any kind.

The Service is not a substitute for professional help. It is not a replacement for care from a licensed therapist, psychologist, psychiatrist, physician, or any other qualified healthcare professional.

The Service is not an emergency service. It is not designed to address mental health crises, suicidal thoughts, self-harm, or any situation requiring immediate intervention.

If you are experiencing a mental health crisis or emergency, stop using the Service immediately and contact emergency services (call 911 in the United States), the 988 Suicide and Crisis Lifeline (call or text 988), or go to your nearest emergency room.

The content in the Service, including any text, experiences, suggestions, or communications provided by the Service or its companion character, is for general informational and wellbeing purposes only. Nothing in the Service should be interpreted as a professional recommendation, clinical opinion, or personalized treatment plan.

Luna is a fictional AI character designed to guide your experience within the Service. Luna is not a therapist, counselor, coach, or healthcare provider. Luna’s responses are generated by software and are not professional advice or clinical communication.

The provision of content through the Service does not create a medical professional-patient relationship and does not constitute an opinion, medical advice, or diagnosis or treatment of any particular condition. No licensed medical professional-patient relationship is created by using information or services provided by or through the Service or through any other communications with us.

You acknowledge that your use of the Service is not a clinical or therapeutic relationship between you and MindGO Care, Inc., its founders, employees, or affiliates.

Do not disregard, avoid, or delay obtaining medical advice from a qualified healthcare professional because of something you may have read or experienced in the Service. You are solely responsible for seeking the medical advice of qualified healthcare professionals for questions regarding a medical condition, diagnosis, or treatment.

Your use of information provided on and through the Service is solely at your own risk. Nothing stated, posted, or made available through the Service is intended to be, and must not be taken to be, the practice of medicine or the provision of medical care.
 

4. Assumption of Risk


To summarize: You use the Service at your own risk and are responsible for determining whether it is appropriate for you.
 

You understand and acknowledge that:

Emotional wellbeing experiences may surface thoughts, feelings, or memories that could be uncomfortable or distressing.

The Service is not equipped to manage or respond to psychological crises.

You are solely responsible for determining whether the Service is appropriate for your personal circumstances.

If you have a diagnosed mental health condition or are currently receiving treatment, you should consult your healthcare provider before using the Service.
 

By using the Service, you voluntarily assume all risks associated with its use, including any emotional, psychological, or other effects that may result from engaging with the content.
 

5. No Guarantees of Results


To summarize: We do our best to make the Service work as expected, but we cannot guarantee specific outcomes.

We make no representations, warranties, or guarantees regarding any specific outcomes, improvements, or results from using the Service. Individual experiences vary.
 

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
 

We do not warrant that the Service will meet your specific needs, that it will be uninterrupted or error-free, or that any content will produce any particular emotional, psychological, or behavioral outcome.

6. Limitation of Liability

To summarize: If you experience any loss related to your use of the Service, any payment to you is limited as described below.
 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MINDGO CARE, INC., ITS OFFICERS, DIRECTORS, FOUNDERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Emotional distress, psychological harm, or any worsening of a mental health condition.

Loss of data, loss of use, or any interruption of service.

Any actions you take or decisions you make based on your use of the Service.

Any reliance on content, suggestions, or experiences provided through the Service.
 

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE EXCEED THE GREATER OF FIVE HUNDRED DOLLARS ($500.00), OR THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
 

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded by applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
 

7. Indemnification

To summarize: If we are sued because of your use of or conduct related to the Service, you agree to help pay for it.
 

You agree to indemnify, defend, and hold harmless MindGO Care, Inc., its officers, directors, founders, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Service.

Your violation of these Terms.

Your violation of any rights of any third party.

Any claim that your use of the Service caused harm to you or any third party.

8. Intellectual Property


To summarize: You need our permission to use our copyrights, trademarks, or any content from the Service.
 

All content in the Service, including but not limited to text, graphics, images, characters, animations, audio, experiences, and all associated trademarks and branding, is the exclusive property of MindGO Care, Inc. and is protected by applicable intellectual property laws.

You agree not to copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Service without our prior written consent. Any use of the Service or its content other than as specifically authorized herein is strictly prohibited.

Our name, logo, and associated branding are our trademarks and service marks. Nothing in these Terms or the Service should be construed as granting any license or right to use any of our trademarks without our prior written permission.

We may make certain content within the Service available for you to share with others (such as through sharing features built into the Service). When we do, we grant you a limited, non-exclusive, revocable license to share that specific content for personal, non-commercial purposes only, as intended by the sharing feature. This license does not extend to any other content in the Service.
 

9. User Conduct

To summarize: Be responsible and do not misuse the Service.
 

You agree not to:

Use the Service for any unlawful purpose.

Attempt to reverse engineer, decompile, or disassemble the Service.

Interfere with or disrupt the operation of the Service.

Use the Service to collect information about other users.

Misrepresent your identity or age.

If you violate these Terms, we may terminate your access to the Service. If you find a new and creative way to harm the Service or its community, we may take action to prevent it.

10. Application Stores


To summarize: We make the App available on Application Stores such as the Apple App Store and Google Play Store. These Terms are between you and us only, not with the Application Store.


Apple-Enabled Software:

With respect to the App made available for use in connection with an Apple-branded product, the following additional terms apply:

These Terms are between you and MindGO Care, Inc. only, and not with Apple Inc. (“Apple”). As between us and Apple, we are solely responsible for the App and its content.

Your license to use the App is limited to a non-transferable license to use the App on an iOS product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

Apple has no obligation to provide any maintenance or support services with respect to the App.

Apple is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App, if any. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.

We, not Apple, are responsible for addressing any claims relating to the App or your possession and use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms with respect to the App, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.


Google-Sourced Software:

The following applies to the App downloaded from the Google Play Store: (a) these Terms are between you and us only, and not with Google, Inc. (“Google”); (b) your use of the App must comply with Google’s then-current Google Play Terms of Service; (c) Google is only a provider of Google Play where you obtained the App; (d) we, and not Google, are solely responsible for the App; (e) Google has no obligation or liability to you with respect to the App or these Terms; and (f) you acknowledge and agree that Google is a third-party beneficiary to these Terms as it relates to the App.
 

11. Account Deletion and Data


To summarize: You can request deletion of your personal data at any time. We can end your use of the Service at our discretion.

You can request deletion of personal information you have shared with us by contacting us at support@mindgocare.ai. We will process your request within 30 days, except where we are required to retain certain information by law or for legitimate business purposes such as fraud prevention or dispute resolution.
 

To process your request, we may need to verify your identity and locate your data. For data collected through the Website onboarding and within the App, your information is stored under an internal code that is not linked to your name, email, or other identifying information, so in many cases we will not be able to locate it in response to a request. If you signed up with an email, you may request deletion of your email record. If we are unable to verify your identity or locate your data, we may not be able to fulfill your request.

We may suspend or terminate your access to the Service at any time, for any reason, without notice. Upon termination, your right to use the Service ceases immediately.
 

You may stop using the Service at any time. For the App, you may delete it from your device. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3, 4, 5, 6, 7, 8, 9, 12, 13, 14, and 15.

12. Dispute Resolution by Binding Arbitration

To summarize: If you have a problem, please talk to us first. Any disputes must be resolved by binding individual arbitration, not in court. You waive the right to a jury trial and to participate in a class action.
 

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute or claim arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be governed by the Federal Arbitration Act. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
 

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. BY ENTERING INTO THESE TERMS, YOU AND WE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION.
 

Before starting an arbitration, the party raising a dispute will send the other a written notice describing the claim and the relief sought, to allow an opportunity to resolve it informally. Notice to us should be sent to the address or email in Section 17.
 

You may opt out of this arbitration agreement by sending written notice to support@mindgocare.ai within 30 days of first accepting these Terms, stating that you want to opt out of arbitration. If you opt out, the rest of these Terms still apply.

If the class action waiver above is found unenforceable, the entirety of this arbitration section will be null and void.
 

13. Governing Law


These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
 

14. Changes to These Terms

To summarize: These Terms are the final word on the Service’s policies, and we will tell you if we change them.
 

We may update these Terms from time to time. If we make material changes that adversely affect your rights, we will let you know before the changes come into effect through the Service or by other appropriate means. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. These Terms, together with our Privacy Policy and Consumer Health and Wellness Data Privacy Notice, constitute the entire agreement between you and MindGO Care, Inc. regarding your use of the Service and supersede all prior agreements and understandings.
 

15. Severability


If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
 

16. Notice for California Users


Under California Civil Code Section 1789.3, users of the Service from California are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted (a) via email at dca@dca.ca.gov; (b) in writing at: Department of Consumer Affairs, Consumer Information Division, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834; or (c) by telephone at (800) 952-5210 or (800) 326-2297 (TDD).
